WARNING: If the user is a resident of Arizona, Arkansas, Connecticut, Florida, Iowa, Louisiana, Maryland, Montana, North Dakota, Puerto Rico, Quebec, Tennessee and Vermont, the user is not permitted to participate in this game to win any cash prizes.

1 - What is The Ultimate Businessman?

"The Ultimate Businessman" is an Internet-based multiplayer game that allows you to play characters based on the real businessmen's life. The Ultimate Businessman can be accessed via the URL http://www.theubm.com. Please read the FAQ and the guide on how to get started.

The Ultimate Businessman is open to players aged eighteen (18) and above. By clicking the "Sign Up" button you confirm that you fulfill this requirement.

2 - What do you need to play?

The Ultimate Businessman is completely browser-based. You do not need to download any Software. All you need in order to play the game is a standard-browser (MS Internet Explorer 5.5 or higher, Netscape 6.0 or higher, Firefox 1.0.4 or higher) and an internet connection.

3- Agreement

With acccepting these terms and condition you are entering into a formal Agreement with "Karim Tagemouati", the owner of The Ultimate Businessman. The Ultimate Businessman may revise or amend this Agreement at any time, and such revision shall be effective thirty (30) days after a respective notification to you. If any such revision is unacceptable to you, you may terminate your membership within thirty (30) days following such notification.

4- Account

In order to use The Ultimate Businessman you will have to create a user account. Please note that is not allowed to have more than one (1) account. Accounts may not be shared, transferred or otherwise used by more than one player.

You will be asked to choose a name ("Business Name") to identify yourself to other members and the staff. Your username will be always reserved as a business name for you so that you are the only who is able to use it. You may not select as a Game Name the name of another person, or a name which infringes trade or service marks, copyrights, other intellectual property right, or personal rights, or a Game Name that is offensive or vulgar.

You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your account. You agree to immediately notify The Ultimate Businessman of any unauthorized use of your account or any other breach of security.

You agree to provide true, accurate, current and complete information in the registration process. If The Ultimate Businessman has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, The Ultimate Businessman has the right to suspend or terminate your Account and refuse any and all current or future use of The Ultimate Businessman.

5 - License and Intellectual Property

Subject to the terms of this Agreement, The Ultimate Businessman grants you, for your personal use only, a non-exclusive, non-transferable license to use The Ultimate Businessman for a period as defined in this agreement.

You may not (a) sublicense, rent, lease, loan or otherwise transfer The Ultimate Businessman or your account; (b) modify, adapt, reverse engineer or decompile The Ultimate Businessman in whole or part, or otherwise attempt to derive source code from The Ultimate Businessman; (c) create any derivative works in respect of The Ultimate Businessman; or (d) otherwise use The Ultimate Businessman except as expressly provided in this Agreement.

Notwithstanding the foregoing, The Ultimate Businessman grants to you the right to use the specifically designated game content for non-commercial, personal purposes, including in connection with creating non-commercial fan fiction, fan web sites regarding the same or for banners and links to the The Ultimate Businessman website.

In case you are allowed to upload to or create content in The Ultimate Businessman and with respect to your The Ultimate Businessman character, you grant to The Ultimate Businessman a non-exclusive, universal, perpetual, irrevocable, royalty-free, sublicenseable right to exercise all rights of any kind or nature associated with such content, and all ancillary and subsidiary rights thereto, in any languages and media now known or not currently known.

6 - Charges

You can play "The Ultimate Businessman" without any limitations for free. However, You may choose to buy additonal credits or subscriptions. Pricing and billing information can be found in the "Turns" section on the The Ultimate Businessman website.

Paid fees are not refundable.

7 - Rights and Responsibilities

You understand that you have no expectation of privacy regarding the communications you make on the Service, and that all communications made by or received from you may be monitored by The Ultimate Businessman.

You agree not to use The Ultimate Businessman in any other way than originally intended including but not limited to not:

* § upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation;
* § interfere with or disrupt The Ultimate Businessman or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service; or
* § attempt to gain access to any other Player's Game account; or
* § stalk or otherwise harass another Player.

8 - Availability and Access

You agree that The Ultimate Businessman will not be liable for any interruption of The Ultimate Businessman, delay or failure to perform resulting from any cause whatsoever. You acknowledge that The Ultimate Businessman may be interrupted for reasons beyond the control of The Ultimate Businessman, and The Ultimate Businessman cannot guarantee that you will be able to access The Ultimate Businessman whenever you may wish to do so.

The Ultimate Businessman shall not be obligated to refund all or any portion of any fees paid by reason of any interruption of The Ultimate Businessman.

The Ultimate Businessman has the right at any time for any reason or no reason to change and/or eliminate any aspect of The Ultimate Businessman as it sees fit in its sole discretion.

9 - Term and Termination

The Ultimate Businessman reserves the right to terminate this Agreements and delete your Account immediately and without notice if you breach this Agreement or wilfully infringe any third party intellectual property rights, or if The Ultimate Businessman is unable to verify or authenticate any information you provide to The Ultimate Businessman, or upon game play, chat or any of your activities whatsoever which is, in The Ultimate Businessman sole discretion, inappropriate and/or in violation of the spirit of The Ultimate Businessman as described in the Game Rules.

In the event the Agreement has been terminated for such reasons you may not create another account without the expressed constent of The Ultimate Businessman. Fees paid will not be refunded.

The Ultimate Businessman may choose to terminate The Ultimate Businessman entirely. In this event he will notify all users at least fourty-five (45) days in advance.

10 - General Provisions.

You may not use, copy, modify, sublicense, rent, sell, assign or transfer the rights or obligations granted to you in this Agreement, except as expressly provided in this Agreement.

If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable, and such decision shall not affect the enforceability of: (a) such provision under other circumstances, or (b) the remaining provisions hereof under all circumstances.

Notwithstanding anything else in this Agreement, no default, delay or failure to perform on the part of The Ultimate Businessman shall be considered a breach of this Agreement if such default, delay or failure to perform is shown to be due to causes beyond the reasonable control of The Ultimate Businessman.

11 - Choice of Law.

This Agreement is governed by and construed under the laws of Canada.
